IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "User") and Vox Lab Technologies LLC ("Vox Lab", "we", "us", "our") governing your access to and use of our website, platform, APIs, data products, and all related services (collectively, the "Services").

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

1. Overview of Services

Vox Lab provides licensed datasets and data products derived from publicly available sources across multiple modalities, including text, speech, images, video, documents, and other media. Our Services include data licensing, custom dataset creation, API access, and related analytics tools.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using our Services, you represent and warrant that you meet these requirements.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the security of your account credentials.
• You must promptly notify us of any unauthorized access to your account.
• You are responsible for all activity that occurs under your account.

4. Data Licensing

All data provided through our Services is licensed, not sold. The specific terms of your data license are governed by the Data License Agreement ("DLA") executed between you and Vox Lab. In the event of any conflict between these Terms and your DLA, the DLA shall prevail with respect to data usage rights.

• Permitted use: You may use licensed data solely for the purposes specified in your DLA, which may include AI/ML model training, research, analytics, and internal business operations.
• Restrictions: Unless explicitly authorized in your DLA, you may not: redistribute, sublicense, or publicly share raw data; attempt to identify or re-identify individual data subjects; use data to build competing data products; or combine data with other sources in ways that compromise individual privacy.
• Derived works: Models, embeddings, statistical outputs, and other derivative works that do not contain or enable reconstruction of raw licensed data may be used in accordance with your DLA.

5. Data Collection Practices

Vox Lab collects data exclusively from publicly available sources. We do not access private communications, private groups, invite-only channels, paywalled content, or any data behind authentication barriers. We do not deploy techniques to circumvent technical access controls on any platform.

Our data processing pipelines include automated filters to detect and redact personally identifiable information (PII) where feasible. If you believe that data containing your personal information has been included in our datasets, please contact us at [email protected] for review and removal.

6. Intellectual Property

All intellectual property rights in our Services - including our platform, tools, APIs, documentation, branding, and proprietary methodologies - remain the exclusive property of Vox Lab. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the limited license to use our Services as described herein.

Rights in the underlying content within our datasets remain with the original creators or the respective platforms, except where such rights have been licensed to Vox Lab.

7. Use Restrictions

You agree not to:

• Use the Services for any illegal, fraudulent, or harmful purpose.
• Reverse engineer, decompile, or disassemble any part of our Services.
• Scrape, crawl, or use automated means to access the Services beyond authorized API usage.
• Attempt to gain unauthorized access to our systems, networks, or data.
• Use our data to create, train, or improve systems intended to produce disinformation or deepfakes.
• Interfere with or disrupt the integrity or performance of our Services.
• Resell or redistribute access to our Services or data without authorization.

8. Compliance

You are responsible for ensuring that your use of our Services and any licensed data complies with all applicable laws and regulations, including but not limited to:

• Data protection and privacy laws (GDPR, CCPA, and equivalent local regulations).
• Intellectual property and copyright laws.
• Export control and sanctions regulations.
• Industry-specific regulations applicable to your business.

9. Payment Terms

Certain Services require payment as outlined in your DLA or applicable order form. All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension or termination of access to our Services.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's proprietary and confidential information. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from a third party without restriction.

11. Warranty Disclaimer

OUR SERVICES AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or that any data will be 100% accurate or complete.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOX LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES arising out of or related to your use of our Services, regardless of the theory of liability. Our total aggregate liability for any claims arising from these Terms shall not exceed the greater of (a) the amounts paid by you to Vox Lab during the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Vox Lab and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your use of licensed data in breach of the DLA.

14. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice. Upon termination: (a) your right to use the Services ceases immediately; (b) you must destroy all copies of licensed data in your possession, unless your DLA provides otherwise; (c) provisions that by their nature should survive termination will survive, including intellectual property rights, warranty disclaimers, limitation of liability, and indemnification.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration: Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in English. The arbitrator's decision shall be final and binding. Judgment may be entered in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Opt-out: You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website at least 15 days before taking effect. Your continued use of our Services after such changes constitutes acceptance of the revised Terms.

17. Miscellaneous

• Entire agreement: These Terms, together with any DLA and applicable order forms, constitute the entire agreement between you and Vox Lab.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
